1. Acceptance of Terms

Welcome to ZenNudge. By downloading, installing, or using the ZenNudge mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and ZenNudge ("we," "our," or "us"). Please read them carefully.

2. Description of Service

ZenNudge is a personal finance companion app designed to help you:

• Track and manage your financial goals
• Receive reminders for bill due dates
• Monitor and reflect on your spending habits
• Stay informed about relevant financial deadlines
• Build mindful money management habits

3. Eligibility

To use ZenNudge, you must:

• Be at least 13 years of age (or 16 years in certain jurisdictions)
• If you are under 18, have parental or guardian consent to use the App
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the App under applicable law

By using the App, you represent and warrant that you meet these eligibility requirements.

4. Your Account

4.1 Account Creation

To access certain features of the App, you must create an account using either Google Sign-In or Sign in with Apple. You are responsible for:

• Providing accurate and complete information
• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4.3 Account Deletion

You may delete your account at any time through the App settings. Upon deletion, all your data will be permanently removed in accordance with our Privacy Policy.

5. Acceptable Use

You agree to use ZenNudge only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the App in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to the App, servers, or databases
• Interfere with or disrupt the App's functionality
• Reverse engineer, decompile, or disassemble the App
• Use automated means (bots, scrapers) to access the App
• Transmit malware, viruses, or harmful code
• Impersonate any person or entity
• Use the App to harass, abuse, or harm others
• Attempt to circumvent security features
• Use the App on jailbroken or rooted devices (for security reasons)

6. Intellectual Property

6.1 Our Rights

The App, including its design, features, content, graphics, logos, and trademarks, are owned by ZenNudge or its licensors and are protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes.

6.2 Restrictions

You may not:

• Copy, modify, or distribute the App or its content
• Use our trademarks, logos, or branding without permission
• Create derivative works based on the App
• Remove or alter any proprietary notices or labels

6.3 Feedback

If you provide feedback, suggestions, or ideas about the App, you grant us a non-exclusive, royalty-free, perpetual license to use and incorporate such feedback into the App without compensation to you.

7. User Content

7.1 Your Data

You retain ownership of any data you enter into the App, including goals, bills, spending entries, and notes ("User Content"). By using the App, you grant us a limited license to store, process, and display your User Content solely to provide the App's services to you.

7.2 Content Guidelines

You are solely responsible for your User Content. You agree not to enter content that:

• Is illegal, harmful, or offensive
• Infringes on others' intellectual property rights
• Contains malicious code or links

7.3 Data Accuracy

You are responsible for the accuracy of the financial information you enter. ZenNudge does not verify, validate, or guarantee the accuracy of User Content.

8. Disclaimers

8.1 No Financial Advice

ZENNUDGE IS NOT A FINANCIAL ADVISOR. The App provides tools for personal organization and goal tracking only. It does not provide:

• Financial, investment, or retirement advice
• Tax preparation or tax advice
• Legal or accounting advice
• Credit counseling or debt management services

Always consult qualified professionals before making financial decisions.

8.2 No Guarantees

We do not guarantee that:

• You will achieve any particular financial outcome
• The App's deadline information is complete or accurate for your jurisdiction
• The App will be available at all times without interruption
• The App will be error-free or secure from all threats

8.3 "As Is" Basis

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• ZENNUDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• ZENNUDGE SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE PAST 12 MONTHS (OR $100 IF YOU HAVE NOT PAID ANYTHING)

These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless ZenNudge and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

11. Termination

11.1 By You

You may stop using the App at any time. To fully terminate your relationship with us, delete your account through the App settings.

11.2 By Us

We may suspend or terminate your access to the App at any time, with or without cause, with or without notice, including if we reasonably believe you have violated these Terms.

11.3 Effect of Termination

Upon termination:

• Your right to use the App immediately ceases
• We may delete your account and User Content
• Sections 6-10, 13, and 14 of these Terms survive termination

12. Changes to Terms

We may modify these Terms at any time. When we make material changes, we will:

• Update the "Effective Date" at the top of these Terms
• Notify you through the App or via email
• Provide you the opportunity to review the changes before they take effect

Your continued use of the App after changes take effect constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the App.

13. Governing Law & Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any disputes arising from these Terms or your use of the App will be resolved as follows:

• Informal Resolution: We encourage you to contact us first at adarsh.thampy@gmail.com to resolve disputes informally.
• Arbitration: If informal resolution fails, disputes will be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.
• Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive the right to participate in class action lawsuits.

13.3 Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights.

Additional Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ZenNudge regarding the App.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
